Powerwise UK - Terms and Conditions
These terms and conditions ("Agreement") are entered into by and between Powerwise UK ("Consultant," "we," "us," or "our") and the client ("Client," "you," or "your"). By engaging our services, you agree to be bound by the terms and conditions outlined below. Please read them carefully before proceeding.
1. Services Provided:
Powerwise UK specializes in providing energy consultation services in Great Britain. Our services include, but are not limited to, energy efficiency analysis, cost-saving recommendations, renewable energy solutions, and energy procurement advice.
2. Client Responsibilities:
The Client agrees to provide accurate and necessary information for the Consultant to effectively deliver services. It is the Client's responsibility to ensure the accuracy and completeness of the provided information.
3. Fees and Payment:
The Client agrees to pay the fees outlined in the proposal or agreement for the services provided by Powerwise UK. Payment terms and methods will be specified in the proposal or invoice. Any additional expenses incurred during the course of providing services will be agreed upon in writing by both parties. The client acknowledges that in the instance of an energy supply contract being placed by Powerwise UK, that we will get paid by way of an uplift added to your agreed contract prices such as a p/kWh within the unit rate or p/day within the standing charge. Such uplifts will be declared on the letter of authority when a new energy supply contract is agreed.
4. Confidentiality:
Both parties agree to maintain the confidentiality of all non-public information shared during the course of this engagement. This includes proprietary business information, strategies, and any other confidential information disclosed by either party.
5. Intellectual Property:
Any intellectual property developed or shared during the course of this engagement shall remain the property of the respective owner. The Client may use any deliverables provided by Powerwise UK solely for the purpose outlined in the engagement and may not reproduce, distribute, or modify them without written consent.
6. Limitation of Liability:
Powerwise UK shall not be liable for any indirect, incidental, consequential, or special damages arising from the provision of services, including but not limited to loss of profits, business interruption, or data loss.
7. Termination:
Either party may terminate this Agreement with written notice. In the event of termination, the Client shall compensate Powerwise UK for services rendered up to the termination date.
8. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Entire Agreement:
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written. No modification or amendment of this Agreement shall be valid unless in writing and signed by both parties.
